Terms of Service

1. Acceptance of Terms

By accessing and using CloudPeerDiscover (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. CloudPeerDiscover reserves the right to modify these Terms at any time. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the revised Terms.

2. Description of Service

CloudPeerDiscover is a cloud-based platform that provides automated discovery, mapping, and auditing of multicloud network infrastructure and on-premises devices. Our Service includes network topology visualization, inventory management, compliance auditing, and related tools and features.

3. User Eligibility

You represent and warrant that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to act on behalf of that organization.

4. Account Registration and Security

To use the Service, you must create an account with a valid email address and strong password. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or breach of security.

5. Authorized Use

You agree to use the Service only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Prohibited behaviors include harassment, obscene language, threatening behavior, and disclosure of sensitive data.

6. Intellectual Property Rights

The Service and all content, features, and functionality (including but not limited to software, code, tools, and documentation) are owned by CloudPeerDiscover, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, revocable license to use the Service for your authorized business purposes.

7. Cloud Account Access and Authorization

By authorizing CloudPeerDiscover to access your AWS, Azure, or Google Cloud accounts, you grant us permission to retrieve read-only network metadata on your behalf. You understand that CloudPeerDiscover will not access credentials, passwords, sensitive application data, or any resources beyond the scope of network infrastructure inventory. You may revoke this authorization at any time through your account settings.

8. User Content and Data

You retain all rights to data you upload to or generate through CloudPeerDiscover (“User Data”). You grant CloudPeerDiscover a worldwide, royalty-free license to use, copy, and process User Data solely to provide the Service and improve our platform. Upon account termination, we will securely delete your User Data within 30 days, subject to legal holds.

9. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful or fraudulent purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malware, viruses, or other harmful code
  • Reverse engineer, decompile, or attempt to derive source code from the Service
  • Use the Service to develop competing products or services
  • Violate any applicable laws, regulations, or third-party rights

10. Disclaimer of Warranties

CloudPeerDiscover provides the Service on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or secure.

11. Limitation of Liability

To the maximum extent permitted by applicable law, CloudPeerDiscover shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to defend, indemnify, and hold harmless CloudPeerDiscover and its officers, directors, employees, and agents from any claims, damages, or costs (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Service Availability and Support

CloudPeerDiscover strives to maintain 99.5% uptime for the Service, excluding scheduled maintenance and force majeure events. We provide customer support via email and in-app messaging during business hours. Support response times vary based on your subscription plan.

14. Termination

CloudPeerDiscover may terminate or suspend your account at any time if you violate these Terms or engage in prohibited conduct. You may terminate your account at any time by requesting account deletion through your settings. Upon termination, your data will be securely deleted within 30 days.

15. Fees and Payment

You agree to pay all applicable subscription fees in accordance with the pricing and billing terms displayed at the time of purchase. Fees are billed on a monthly or annual basis as selected. All fees are non-refundable except as required by applicable law. CloudPeerDiscover may change fees with 30 days' written notice.

16. Confidentiality

You may have access to CloudPeerDiscover’s confidential information, including trade secrets, source code, and business strategies. You agree to keep such information confidential and to use it only for the purpose of using the Service.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Toronto, Ontario.
